1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "Customer") and Valorex, owned and operated by Asaf Eliyahu, located at Derech Begin 158, Tel Aviv, Israel ("Valorex," "we," "us," or "our"), governing your access to and use of the Valorex website and contract-analysis service (together, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
2. Description of the Service
Valorex is an AI-powered tool that analyzes commercial contracts you upload and produces a risk report. The report identifies potential risks, contradictions, missing protections, and financial exposure, with citations drawn from the contract text. The Service is a software tool that assists with contract review.
3. NOT LEGAL ADVICE
This is the most important term in this agreement. Read it carefully.
Valorex is a software tool. It is not a law firm, it is not a lawyer, and it does not provide legal advice. The reports, findings, citations, recommendations, and any other output generated by the Service are for informational purposes only and do not constitute legal advice, legal opinion, or a substitute for the judgment of a qualified attorney.
- No attorney-client relationship is created between you and Valorex by your use of the Service.
- You should not rely on the Service's output as the sole basis for any legal, financial, or business decision.
- You are responsible for independently verifying any output, including citations, statutory references, and calculations, and for consulting a qualified attorney licensed in the relevant jurisdiction before acting.
- AI-generated analysis may contain errors, omissions, or inaccuracies. While the Service is designed to verify citations against the source contract, no AI system is perfect, and you accept the risk of relying on its output.
4. Eligibility
You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements. If you use the Service on behalf of a business or other entity, you represent that you are authorized to bind that entity to these Terms.
5. Accounts and Security
To use the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. We are not liable for any loss arising from your failure to protect your credentials.
6. Your Documents and Content
- Ownership. You retain all rights to the contracts and documents you upload ("Your Content"). We do not claim ownership of Your Content.
- License to operate. You grant us a limited license to store, process, and transmit Your Content solely to provide the Service to you (including transmitting contract text to our AI provider to generate your report), as described in our Privacy Policy.
- Your responsibility. You represent that you have the right to upload and process each document you submit, and that doing so does not violate any law, contract, confidentiality obligation, or third-party right. You are solely responsible for the documents you upload.
- No training on your content. We do not use the content of Your Content to train, fine-tune, or develop any AI model.
7. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) upload content you do not have the right to upload; (c) attempt to reverse-engineer, copy, resell, or create a competing product from the Service; (d) attempt to gain unauthorized access to the Service, other users' data, or our systems; (e) interfere with or disrupt the Service; (f) use the Service to build a competing service; or (g) upload malicious code or use automated means to abuse the Service.
8. Subscriptions, Fees, and Payment
- Plans. The Service is offered on a free trial and on paid subscription plans as described on our website. Plan features, limits, and prices are shown at the point of sale and may change.
- Free trial. We may offer a free trial with usage limits. At the end of the trial, you must subscribe to a paid plan to continue using paid features. We reserve the right to modify or withdraw the free trial at any time.
- Billing. Paid plans are billed in advance on a recurring basis (for example, monthly) through our payment provider, Paddle, which acts as the merchant of record. By subscribing, you authorize recurring charges until you cancel.
- Taxes. Prices may be exclusive of applicable taxes. Where Paddle acts as merchant of record, it may calculate, collect, and remit applicable taxes.
- Price changes. We may change prices. We will give reasonable notice of any price change, which will apply to your next billing cycle.
9. Cancellation and Refunds
- Cancellation. You may cancel your subscription at any time. When you cancel, you will not be billed for the next cycle, and your paid access continues until the end of the current paid period.
- No refunds for amounts already paid. Payments already made for the current or past billing periods are non-refundable. Cancelling stops future billing; it does not refund payments already charged. This is described in more detail in our Refund Policy.
- Merchant-of-record terms. Because Paddle acts as the merchant of record, Paddle's own buyer terms and any legally required refund rights may also apply to your purchase.
10. Intellectual Property
The Service, including its software, design, text, and branding (excluding Your Content), is owned by Valorex and protected by intellectual-property laws. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as permitted here.
11. Third-Party Services
The Service relies on third-party providers, including Anthropic (AI processing), Supabase (storage and authentication), Paddle (payments), and our hosting and email providers. Your use of the Service may also be subject to those providers' terms. We are not responsible for the acts or omissions of third-party providers beyond our reasonable control.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will be uninterrupted, error-free, or secure. Without limiting Section 3, we do not warrant that any output of the Service is accurate, complete, or suitable for any particular purpose. You use the Service at your own risk.
13. Limitation of Liability
To the maximum extent permitted by law:
- Valorex, and its owner, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages.
- This includes, without limitation, any loss or damage arising from your reliance on the Service's output, any error or omission in a report, or any decision you make based on the Service.
- Our total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD 50).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless Valorex and its owner from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content, including any claim that a document you uploaded infringed a third party's rights or violated a confidentiality obligation or law; or (c) your breach of these Terms.
15. Suspension and Termination
We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, misuse the Service, or where necessary to protect the Service, other users, or comply with law. You may stop using the Service and delete your account at any time. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (including Sections 3, 6, 10, 12, 13, and 14) will survive.
16. Changes to the Service and to These Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts located in Israel, unless applicable mandatory consumer-protection law in your country of residence grants you the right to bring proceedings elsewhere.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Valorex regarding the Service.
- Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
